Nothing on this website constitutes a binding offer. Commercial supply is subject to written quotation, order confirmation, availability, compliance review and agreed payment and delivery terms.

1. Scope and business customers

These terms apply to quotations, order confirmations and deliveries made by A&K Worldwide Enterprises FZCO, trading as A&K TECHPARTS (“the Seller”). This website and the services described on it are intended mainly for business customers. The Seller does not accept the customer’s general purchase conditions unless it has agreed to them in writing.

2. Enquiries, quotations and order formation

• Information on this website is an invitation to submit an enquiry and is not an offer.
• Website enquiries do not constitute binding orders.
• A quotation is not automatically an acceptance of an order.
• An order becomes binding only after written order confirmation by A&K Worldwide Enterprises FZCO.
• Product availability may change before order confirmation.
• The part selector and product catalogue on this website identify products for enquiry purposes only. They state no stock quantity and no price, and a listing does not mean an item is available.
• Manufacturer, condition, packaging, date code, origin, documentation, lead time and delivery terms are those stated in the quotation or order confirmation.

3. Prices, currency and payment

• Prices may exclude VAT, customs duties, import charges, freight, insurance and bank fees unless expressly included.
• The applicable currency is stated in the quotation.
• Payment terms are stated individually in the quotation or invoice.
• Quotations are valid for the period stated on them and are subject to prior sale and to supplier price movement.

4. Delivery

• Delivery terms are governed by the Incoterms rule stated in the quotation.
• Estimated delivery dates are not guaranteed unless expressly confirmed in writing.
• Partial deliveries are permitted where the customer has not excluded them in writing.

5. Inspection and notice of defects

Customers must inspect goods promptly after delivery and must report visible shortages or damage within a commercially reasonable period. Claims should identify the affected part numbers, quantities and, where available, batch information.

6. Returns

• Returns require prior written approval.
• Custom, special-order, allocated, obsolete, hard-to-find or non-cancellable components may not be returnable.
• Opened reels, cut tape, programmed components or customer-specific packaging may not be returnable unless defective or otherwise agreed.
• Approved returns must be in the original packaging and may be subject to a restocking charge.

7. Warranty and technical suitability

• Warranty rights depend on the written quotation, order confirmation and applicable law.
• The customer is responsible for confirming technical suitability for its application.
• Alternative components require customer technical approval before supply.
• Datasheets should be checked before purchase and use.
• A&K Worldwide Enterprises FZCO does not provide engineering certification unless expressly agreed.

8. Liability

The Seller is liable in accordance with applicable law. To the extent permitted by mandatory applicable law, liability for indirect loss, loss of production, loss of profit or consequential damage is excluded. Nothing in these terms limits liability that cannot be limited by law.

9. Export control, sanctions and end use

• Export-control, sanctions and end-use restrictions may apply to supplied products.
• Customers must provide lawful and accurate end-use information where required.
• Products must not be used in prohibited, illegal or sanctioned activities.
• The Seller may decline or suspend an order where a compliance review requires it.

10. Retention of title

Goods remain the property of the Seller until payment has been received in full.

11. Confidentiality

Each party shall treat commercial and technical information received from the other party as confidential and use it only for the purpose of the enquiry or the order. Bills of Materials submitted by the customer are handled confidentially.

12. Intellectual property

Manufacturer trademarks remain the property of their owners. Their use on this website is for product identification only and does not imply an authorized distribution, agency or partnership relationship unless expressly stated.

13. Governing law and jurisdiction

These terms and any contract formed under them are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and excluding conflict-of-law rules that would lead to the application of another legal system.

The place of performance is Dubai, United Arab Emirates. The Supplier is established in the Dubai World Trade Centre Free Zone under Commercial Licence L-4455 and is subject to the regulations applicable to that free zone.

The exclusive place of jurisdiction for all disputes arising out of or in connection with these terms is Dubai, United Arab Emirates. The Supplier additionally reserves the right to bring proceedings at the Customer’s general place of jurisdiction.

This clause does not affect mandatory consumer-protection provisions. These terms apply to business customers only; sales to consumers are not made under these terms.

14. Severability

If a provision of these terms is or becomes invalid, the validity of the remaining provisions is unaffected.
